These terms and conditions (together with the information and policies contained in the "Customer Service" section of the website and any other documents referred to herein, collectively referred to as "Terms and Conditions") govern the legal terms that apply to your use of our website at www.realshare.com , including its subdomains, any mobile or desktop applications developed by us or on our behalf (collectively referred to as the "Website" and individually as the "Website"), and any other services we provide (the "Services").

Before using the Services, please read these Terms and Conditions carefully to ensure you understand them. By using the Services, you agree to be bound by these Terms and Conditions. If you do not agree to these Terms and Conditions, you will not be able to use the Services and should leave the Website immediately. If you continue to use the Website or place orders, we will assume you have accepted these Terms and Conditions.

1.Understanding These Terms and Conditions

Certain words and phrases in these Terms and Conditions have specific meanings ("Defined Terms"). These Defined Terms are indicated with capital letters (even when they do not begin a sentence). The meaning of a Defined Term can be found in the section where it is first introduced (usually indicated in parentheses and quotation marks).

When we refer to "REALSHARE," "we," "us," or "our," we mean REALSHARE HONGKONG Limited or, where applicable, its affiliates. When we refer to "you" or "your," we mean the person using the Services.

Headings are used for ease of understanding and navigation. We do not retain records of contracts between you and us or between you and our partners for your purchases. Therefore, we recommend printing or saving a copy of these Terms and Conditions (noting that we may update them periodically, so you should review the Website regularly and upon each purchase to ensure you understand the applicable legal terms).

2.About Us

IMPORTANT: If you purchase products from any of the brands or boutiques listed at the end of Section 20 ("Selected Partners"), additional or differing terms may apply. Please refer to Section 20.

We are REALSHARE HONGKONG Limited, a company registered in Hong Kong with a registered address at: Unit C, 4th Floor, Hang Lee Building, 68 Canton Road, Tsim Sha Tsui, Kowloon, Hong Kong (Company Registration Number: 62991386).

Together with certain affiliates, we operate the Website and provide the Services described in Section 3. When you purchase products through the Website, you are purchasing directly from the third-party retailer ("Partner") listed on the Website. The contract for the purchase of products is between you and the relevant Partner, not with us. We act as the Partner's agent, authorized to conclude contracts on their behalf, but we are not a party to the contract, and you are not purchasing products directly from us.

In certain cases, products sold through the Website or app may be provided by a REALSHARE entity rather than a Partner. In these cases, the contract for purchase will be between you and the relevant REALSHARE entity, and we will make this clear to you.

3.Our Services

Our Services allow you to browse and purchase products from Partner boutiques and brands worldwide through the Website. Ancillary services, such as arranging product delivery and customer service support, are also part of our offering. The specific REALSHARE entity providing these services depends on your location.

It is important to note that the contract for purchasing products is between you and the relevant Partner, who is legally responsible for the sale of the products. We provide the logistics and delivery services to fulfill the contract on behalf of the Partner.

To use our Services, you must be at least 18 years old.

4.Our Liability to You Regarding the Services

If we fail to comply with these Terms and Conditions when providing the Services, we are responsible for foreseeable loss or damage caused by our breach or negligence. However, we are not responsible for any loss or damage that is not foreseeable. Loss or damage is considered foreseeable if it was an obvious consequence of our breach or was contemplated by both parties at the time you began using the Services.

We do not exclude or limit liability for:

• (a) Death or personal injury caused by our negligence;
• (b) Fraud or fraudulent misrepresentation;
• (c) Any other liability that cannot be excluded by law.

5.Products

We strive to ensure that product descriptions on the Website are as accurate as possible. However, as these descriptions are based on information provided by Partners, we cannot guarantee they are always complete, accurate, or error-free. Please contact our Customer Service team for additional product details.

The product images on the Website are for reference only. While we aim to display colors accurately, we cannot guarantee that your device's display will accurately reflect the product's actual color.

Partners are not permitted to offer flawed or substandard items on the Website. If you receive an item that is not as described, defective, or substandard, you may return it. We will liaise with the Partner to process the return. Once the Partner receives the item, you will receive a full refund or, depending on the circumstances, a discount, replacement, or repair. We will also reimburse applicable delivery charges and reasonable return costs.

As a consumer, you have legal rights regarding products that are defective or not as described. These Terms and Conditions do not affect those rights. Products sold by Partners and REALSHARE entities are for personal and private use only. You agree not to use products for commercial, business, or resale purposes.

6.REALSHARE Partners

IMPORTANT: If you purchase products from any Selected Partners listed in Section 20, additional or differing terms may apply. Please refer to Section 20.

As stated earlier, the contract for the purchase of products is between you and the relevant Partner. We act as the Partner's agent and are authorized to conclude contracts on their behalf, but we are not a party to the contract.

When you purchase products through the Website, we receive payment on behalf of the relevant Partner and hold the funds until the products are delivered to you, after which we transfer the amount to the Partner.

While we require all Partners to maintain reasonable business practices in line with our policies, we cannot take responsibility for individual Partner practices. If you are dissatisfied with a product or service provided by a Partner, please contact our Customer Service team, and we will liaise with the Partner to resolve the issue.

7.Orders, Pricing, Payment, and Taxes

IMPORTANT: If you purchase products from any Selected Partners listed in Section 20, additional or differing terms may apply. Please refer to Section 20.

(a) Placing Orders

For detailed steps on placing an order, refer to our How to Order and Pay section. By completing the checkout process and clicking "Place Order," you are making an offer to purchase products from the relevant Partner, not directly from us.

Upon confirming your order via email, the contract is formed. All orders are subject to availability and price confirmation. If the product is unavailable or the price is incorrect, we may cancel or adjust your order and notify you accordingly.

(b) Pricing and Taxes

We strive to ensure accurate pricing information on the Website. However, as this information is provided by Partners, errors may occur. If we discover a pricing error in your order, we will notify you and allow you to reconfirm or cancel the order. If we cannot reach you, the order will be canceled.Delivery costs and applicable taxes vary depending on your location and will be displayed during checkout.

(c) Payment Methods

We accept various payment methods, as detailed in our FAQs. Your order will not be shipped until payment details are verified.

8.Delivery

The estimated delivery date for the products will be stated in your order confirmation email. While we aim to ensure that your order is delivered by the estimated date, delivery times may vary depending on product availability and your delivery address. In case of delays caused by events beyond our reasonable control (see Section 15), we will arrange for delivery as soon as possible but cannot be held liable for losses resulting from such delays.

Products will be delivered directly by the Partner, so your order may arrive in multiple deliveries at different times.

SMS Notifications

REALSHARE offers an SMS notification service to keep you updated about your order and delivery status. Message frequency may vary, and standard messaging or data charges may apply. REALSHARE and its delivery partners are not responsible for delayed or undelivered messages.

Optional Delivery Services

In certain circumstances, our delivery partners may offer optional services, including:

1. Signature Waiver: Opting out of a signature requirement upon delivery.
2. Leave with Neighbor or Security: Delivering to a neighbor, reception desk, or security.
3. Rescheduling Delivery: Selecting a new delivery date.
4. Redirecting to a Collection Point: Collecting your package from a nearby location.

By selecting any of these services, you agree that REALSHARE is not responsible for any loss or damage resulting from the chosen delivery method.

Return to Origin (RTO) Policy

Shipping costs will not be refunded if an order is returned to the origin due to the following circumstances:

• Failure to provide required customs documentation.
• Refusal to pay customs duties.
• Inability to reach the customer.
• Incorrect or unrecognized delivery address.

Signature Services

For both domestic and international deliveries, carriers may request a signature or other confirmation of receipt at their discretion. If you opt for delivery without a signature, you agree that REALSHARE is not liable for loss or damage resulting from this method.

9.International Delivery

Details of countries we deliver to can be found on our Orders and Shipping page. Some products may have restrictions on delivery to certain international destinations. Please review this information before placing an order.

For international deliveries, your order may be subject to import duties and taxes upon arrival in the destination country. These charges are your responsibility if not already included during checkout. For more details, refer to the "Duties and Taxes" section of our Orders and Shipping page.

You must comply with the laws and regulations of the destination country. REALSHARE is not responsible if you breach any such laws.

10.Returns and Cancellation

Under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 or equivalent EU consumer laws, you have the right to cancel your order within the statutory period. This means that if you change your mind or decide not to keep the purchased goods for any reason, you can notify us to cancel your order within the cancellation period.

After the items are returned to the relevant Partner, you will receive a full refund (delivery fees are non-refundable). If the item was sold by a REALSHARE entity store, the return will be processed by the respective REALSHARE entity. Once the items are returned and approved, you will receive a full refund.

11.Use of the Website

This section sets out the rules for using our Website, whether for browsing or placing orders. By accessing the Website, you agree to these rules. If you do not agree, you must stop using the Website immediately.

(a) Accessing the Website

The Website is provided free of charge. You are responsible for arranging access and ensuring compliance with these Terms and Conditions by anyone using your connection. Access is for personal use only, and you may not copy, reproduce, or exploit the Website or its content for commercial purposes without prior written consent.

We reserve the right to amend or withdraw the Website without notice and are not liable for its unavailability at any time.

(b) Prohibited Conduct

You may not use the Website in any way that causes damage or interruption. You must not use the Website for unlawful purposes, including but not limited to:

1. Breaching local, national, or international laws.
2. Sending or using illegal, defamatory, or offensive material.

Our Kidswear Product Safety Policy ensures that Partners comply with safety standards and laws regarding children’s products, such as flammability, tracking labels, and compliance certificates.

16.Invitation-Only Promotions

Selected brands may be offered exclusively to invited customers. Details of these events must not be shared publicly, and breaches of this policy may result in account suspension.

17.Final Sale Policy

Products marked as "Final Sale" are non-returnable and not eligible for refunds or exchanges unless required by law.

18.Other Important Information

21.Ranking Parameters

Products displayed on REALSHARE are ranked based on criteria like trending popularity, availability, pricing, and user preferences. Rankings may also consider promotions paid for by Partners.
